●hereとthere

　hereとthereを使った表現は契約書で頻繁に登場します。前置詞と複合したさまざまな形がありますが、基本的にhereは「this Agreement」、thereは「直前の語句」を指すと理解しておけば読みこなしも簡単です。

【hereとthereの複合語】



・hereby　本契約によって
　Seller hereby agrees that （買主はここに～することを同意する）
・hereinafter　以下
　ABC hereinafter referred to as “Licensor”.（ABC社、以下“ライセンサー”という）
・hereto　本契約の
　the parties hereto（本契約の当事者）
・hereunder　本契約に基づき
　the payment hereunder（本契約に基づく支払い）
・thereafter　その後
　The Seller shall deliver the Goods to the Buyer, and thereafter （=after the delivery）, the Buyer shall inspect the Goods.（売主は本件商品を買主へ引き渡し、その後に買主は本件商品を検査する）
・thereby　それによって
　The Licensee shall sign the certificate, and thereby（=by such certificate）prove that all the confidential information has been abolished.（ライセンシーは証明書へ署名するものとし、それによってすべての秘密情報が廃棄されたことを証明する）
・thereupon　そのうえに、～に対して
　The Seller shall deliver the Goods to the Buyer, and thereupon （=upon the Goods）, the Buyer shall grant warranty.（売主は本件商品を買主へ引き渡し、本件商品に対して買主は保証を付与する）


●接続詞andとor

　andは「および、ならびに、かつ」と訳し、orは「または、もしくは」と訳します。同列のものを並べるときは「and」を、どちらかを選択する場合は「or」を使います。
　たとえば、「A, B, and C」は「Ａ、ＢおよびＣ」となり、「A, B, or C」は「Ａ、ＢまたはＣ」となります。
　「and/or」という表現もありますが、これは「両方、またはいずれか一方」と訳します。たとえば「A and/or B」は「ＡとＢともに、またはＡ、Ｂそれぞれ単独で」などと訳すことになります。

・and　および、ならびに、かつ
　Articles 7, 8, 9 and 13（第７条、８条、９条、および13条）
・or　または、もしくは
　consequential, indirect, or incidental damage（結果的、間接的、もしくは付随的損害） 

andの例文

Article 6. Delivery Unless otherwise agreed, the delivery of the Products by X to Y shall be in accordance with the terms and conditions of F.O.B. Yokohama as set forth in Incoterms 2000 as amended thereafter, and the entire property, control, beneficial ownership  and  legal title in and to such Products  and  the risk of loss thereof shall pass from X to Y at such time as the Products shall have effectively passed the vessel’s rail at a port of export in Japan.

【訳例】

第６条　引渡し 別途合意する場合を除き、ＸからＹへの本製品の引渡しは、2000年版およびその後の改訂版を含むインコタームズに規定されるとおり、FOB横浜とする。当該製品に対する完全な所有権、管理、受益的所有権および法的権限、ならびに本製品の損失リスクは、日本国の輸出港にて、本製品が船舶の欄干を有効に通り過ぎたときに、ＸからＹに移る。

＊「および」のandは小さいくくり、「ならびに」のandは大きいくくりです。


●助動詞mayとshall

　助動詞の「may」は「権利」を表し「～することができる」と訳します。契約書ではcanは使いません。

　一方、「shall」は「義務」を表し「～する義務がある」「～するものとする」と訳すと理解してください。たとえば、“This Agreement shall take effect on…”は「本契約は…に効力を有するものとする」義務を示すのにwillやmustを使うことはあり得ます。


●期間の表記のしかた

　契約期間や開始日、支払いや通知の期日などは、違反すればペナルティが課せられることもあるので重要です。fromやto、beforeなど簡単な語句を使いますが、契約書では厳密な解釈が求められますので、注意が必要です。以下は期間を表すときに用いられる表現の例です。

・～の時点に、～に　as of，on
　「何日現在に」と強調する場合に使われます。
・～から　from，after
　from the day following the date of…（…の日の翌日から）
・～まで　by，before，till，until
　byはその日を含みますが、beforeはその日を含まないのが一般的な解釈です。
・～よりも前　prior to
　…days prior to the date of termination（契約終了日の…日前に）
・～から…以内に　within…from～
　within six （6）months from the day of ～（～の日から６か月以内に）
・～以後　on and after
　on and after the date of this Agreement（本契約書の日付以後）

　また、記載された日付を含むのか含まないのかの誤解や混乱を避けるために、including，inclusive「～を含めた」やexcluding，exclusive「～を除く」といった表現も併記することがあります。
　from May 1 to June 20 （both dates exclusive）（５月１日から６月20日まで（いずれの日も除く））
　until and including January 20, 2010（2010年１月20日までに）


●数量にまつわる表現

　「以上」「以下」など「以」の付く表現は、基準の数を含みます。しかし、英語の「more than」や「less than」は厳密にいうとその数を含まないことに注意が必要です。

・～以上　…or more, not less than
　ten （10）days or more（10日以上）
・～以下　…or less, not more than
　not more than three （３）years（３年以下）
・～を超える　exceeding，in excess of，more than
　その数を含まず、それよりも大きい数を示します。
・～未満　less than
　年齢の場合はunderを使います。

　英文契約書にはラテン語も登場します。

・pro rata　割合に比例して
・bona fide　善意の～、真正な～
・de fact　事実上の
・apply mutatis mutandis　準用する
・proviso　ただし書き
・vice versa　逆もまた同様

vice versaの例文

Neither this Agreement nor a purchase order create the relationship of principal and agent between X and Y or vice versa nor do they constitute a partnership or a joint venture between the parties.

本契約または購買注文のいずれもＸ社およびＹ社間に本人および代理人の関係あるいはその逆の関係を構成しない。また、上記は、両当事者間にパートナーシップまたは合弁企業をも構成しない。
